Business Formations

That is why Givens & Larmond Law Group helps you differentiate between the various types of business entities that would be best suited for your business needs. Sole Proprietorship:
A sole proprietorship allows an individual to own and operate a business. Our attorneys can help you obtain your fictitious business name, dba or tradename from the proper state, county or city office.
Partnership:
If two or more persons are engaged in a business for profit then you may be functioning as a General Partnership. Our attorneys can facilitate in establishing and solidifying a general partnership or limited partnership by preparing the proper agreements and state filings to ensure you’re your business is compliant with the legal requirements.
Limited Liability Company (LLC):
Generally, a LLC offers limited liability protections. Our attorneys will get an understanding of your business interest and needs in order to determine whether a LLC provides the best legal protection for your business. We will prepare the necessary documents to get your business started, including, your Articles of Organization, operating agreement, and other applicable documents to help limit your liability.
Corporation:
A corporation is generally a legal entity that exists separately from its owners, with limited liability protection. Our attorneys prepare the documents that must be filed with the proper state office, including the Articles of Incorporation, the Bylaws, the initial minutes, and Shareholder Agreement, if necessary. We work to protect you by ensuring that the necessary documentation is in place to help limit potential liability and set your corporation up for success.

Trademark Services
We want you to feel a sense of pride in knowing your brand is federally protected. We help register your brand name, logo, and/or slogan with the United States Patent and Trademark Office. Having a registered trademark or service mark will discourage others from infringing on your brand in a similar line of business. When you have a registered trademark it will provide you with the proper recourse to sue infringers for using your trademark or a substantially similar mark.
Givens & Larmond Law Group offers trademark services that include: our initial consultation, conducting extensive research to ensure that your potential brand name, logo, or slogan/catch phrase is not already registered and in use for a similar line of business, we provide a legal memo to help determine the strength of your mark and whether it is likely to cause confusion with any other registered marks, we then have a discovery call to let you know our findings, and then file your trademark application.
We also offer services to help enforce your registered brand. Our firm will send cease-and-desist letters on your behalf to those who are infringing on your brand.

CTA Reporting Compliance
The Corporate Transparency Act (CTA) was passed, enacting new reporting requirements for all reporting business in the United States. As of January 1, 2024, all reporting companies are required to file Beneficial Ownership Information (BOI) reports to the Financial Crimes Enforcement Network (FinCEN) in the allotted time. We offer BOI Report filing services to help ensure your business remains in compliance with these new federal regulations.
